Pres. Paul opened the meeting by welcoming visiting Rotarian Nancy Yee (Vancouver Chinatown). He then checked how many members are in attendance because we will be holding our EGM today to pass a resolution on changes to our Memorandum and Articles of Association. He reported we do have a quorum of members of 15 members which is more then 39%.

He then tabled the Special Resolution as follows:

  1. THAT a company limited by guarantee be incorporated under the Company Ordinance (Cap. 32) of the laws of Hong Kong with its corporate name to be known as "ROTARY CLUB OF HONG KONG ISLAND EAST LIMITED (hereinafter referred to as the "Company") .
  2. THAT the draft Memorandum and Articles of Association of the Company tabled before the Extraordinary General Meeting of RCHKIE be approved and adopted as Memorandum and Articles of Association of the Company.
  3. THAT the following members of RCHKIE (hereinafter collectively referred to as the "Subscribers") be and hereby directed and authorized to sign as subscribers to the said Memorandum and Articles of Association of the Company, namely:

    1. Hall Kam Ping Peter
    2. Chan Kam Ching Paul
    3. Chan Sek Wang (Laurence)
    4. Law Ka Hung (Rudy)
    5. Lee Norman Tak Lee
    6. Wong Yuk Choi Andy

  4. THAT LEE Norman Tak Lee (as nominated/appointed by the Subscribers) be and is approved as the first Secretary of the Company.

A Member of RCHKIE entitled to attend and vote at the Extraordinary General Meeting is entitled to appoint a Proxy to attend and vote in his or her place.

Then following considerable discussions of these proposed changes to our existing Memorandum and Article of Association, this proposal was put to a vote. This was proposed by Pres. Paul and seconded by PE Laurence. The voting was unanimously in favor of the proposal. Therefore this Special Resolution was passed.

Pres. Paul then thanked all members for their input and approval and reminded everyone to attend the the 47th District Conference which will be held on 26th May 2007 at the Kowloon Shangrila Hotel. The Opening Ceremony will be held on the 24th May 2007 at 3:00 pm at the Leighton Hill Community Hall. For further information please contact Hon Sec Andy for details.

The acting Sergeant-at-arms, Rtn. Heman, reported a collection of $1,000 for today.

Pres. Paul then closed the meeting at 2:20 pm by proposing a toast to RI coupled with the Rotary Club of Vancouver Chinatown.



Rotary Information

RI Council on Legislation (2007)

Dating back to 1934, the first Council on Legislation was convened as an integral part of that year's International Convention in Detroit, Michigan, USA. Until 1970, it was constituted as the legislative body of RI, no longer to function just in an advisory capacity. Actions of the Council are subject to review by all Rotary clubs prior to being incorporated into the Manual of Procedure.

The 2007 Council on Legislation took place from 22nd to 27th April, 2007 in Chicago, USA. The Council comprised of more than 500 representatives from every part of the Rotary world. Voting members include one elected representative of the clubs of each Rotary district, other non-voting members include the chair and vice chair of the Council, the RI president, members of the RI Board and past RI presidents.
The chairman of this Council on legislation was Rtn. John F. Germ.

The Council on Legislative meets every three years to deliberate and act upon all proposed enactments and resolutions submitted by clubs, district conferences, the General Council or the Conference of Rotary International in Great Britain and Ireland or the RI Board. The Council itself also makes proposals.

The last Council on Legislation was held in Chicago, Illinois, USA in 2004, hence we have our recent Council meeting this year (2007) in Chicago from 22nd to 27th April to up-date the rules and policies of our Rotary administration. PDG Vincent To was selected to represent district 3450.

Enactments are items of legislation whose purpose is to amend the Constitution or By-Law of RI or Standard Rotary Club Constitution, whereas

Resolutions are items which simply express an opinion or which establish or revoke policy or procedure of RI without amending the constitutional documents.

Adopting a proposed enactment requires a majority vote whereas adopting a resolution requires 2/3 votes. For example, Enactments are amendments to existing legislation and Resolutions are provisions to be added to existing legislation.

The Council received 336 resolutions/enactments and only 97 pieces were adopted.
It would be rather boring if I go through all the 97 proposals passed and secondly, time is also a factor. I just pick those passed items which directly affect our club's administration.

Item 07-11 To provide for a club board to cancel a club meeting for commonly recognized holidays,

To require members to attend 50% of regular meetings in each half of the Rotary year,

To consult with the governor when amending the name and locality of the club,

Item 07-42 To exempt recent Rotaractors from paying an admission fee,
Item 07-46 To provide that the president shall continue to serve until a successor who has attended the PETS and district assembly has been elected,

To allow clubs to elect into active membership Rotary Foundation Alumni even if the classification of the alumnus is filled,

To allow approval of the per capita levy for a District Fund at a Presidents-elect training seminar,

To request the RI Board to consider including Russian as an official supported language of RI

To increase per capita dues as follows:

2008-2009 – US$24,00 per each half year
2009-2010 – US$24.50 per each half year
2010-2011 – US$25.00 per each half year,

To provide that prorated per capita dues be paid at a rate of one-twelfth of RI per capita dues per month,

Item 07-291

To authorize the RI Board to suspend a club that fails to pay its financial obligation to RI or the district fund.

The above will become effective as from 1st July 2007 should there be no objection from clubs which have filed the proper opposition documents.

Note : Should there be any mis-interpretation of the above legislation, please refer to the new edition of the Manual of procedure (2007) which will be issued by RI at a later date.
